Terms of Service

TeleXchange System OÜ, a company located at Tuukri, 19-216, Tallinn, 10152, Estonia (“TeleXchange”), registration no. 11428965, offers you, the registered user and licensee under these Terms, calling, texting, and other services (“Service”) through TeleXchange’s licensed smartphone and web applications (“Licensed Application” or “Product”) available on TeleXchange’s website at www.telexchange.ee (“Site”) or other third party websites. Licensed Application is licensed (not sold) to you by TeleXchange for use only under these Terms. TeleXchange reserves all rights not expressly granted to you.

NO ACCESS TO EMERGENCY SERVICES: The Licensed Application is not a replacement for your ordinary mobile or fixed line telephone. In particular, it does not allow you to make emergency calls to emergency services. You must make alternative communications arrangements to ensure that you can make emergency calls if needed.

NO ACCESS TO SPECIAL AND PREMIUM NUMBERS: Calls to special and premium rate phone numbers are not allowed and will not be provided by the Service.

CHECK RESTRICTIONS ON USE: There are restrictions on the use of the Licensed Application in some countries. It is your responsibility to ensure that you are legally allowed to use the Product where you are located.

AGE: You must be at least 16 years old to use the Product, the Service, and the Site (in certain countries at least 13 as required in your country for you to be authorized to use the Product, the Service, and the Site without parental approval). In addition to being of the minimum required age to use the Product, the Service, and the Site under applicable law, if you are not old enough to have authority to agree to our Terms of Use in your country, your parent or guardian must agree to our Terms of Use on your behalf.

TELEXCHANGE CREDIT BECOMES INACTIVE AFTER 365 DAYS: If you do not use your TeleXchange credit for a period of 365 days (including the credit that has been allocated to you for free by TeleXchange support administrator, when downloading the application, or any other earned bonuses). You can reactivate the TeleXchange credit by logging into your TeleXchange account at www.telexchange.ee. Reactivated TeleXchange credit is not refundable. If your TeleXchange account is canceled (deleted), your TeleXchange credit will be lost. TeleXchange account may be canceled in any of the following: you actively cancel your account; you remove TeleXchange from your mobile device(s) and don’t reinstall it within 365 days; you do not log in to the TeleXchange app within 365 days.

Acceptance of the Terms

The Terms of Use is a binding legal document between TeleXchange and you that explains your rights and obligations as a user of the Licensed Application and the Service. By downloading, and/or using the Product, the Site, and the Service you acknowledge and agree to the Terms and the TeleXchange Privacy Policy. If you choose to not agree with any of these Terms, you may not use the Product and/or the Service and/or the Site.

Changes to the Terms

TeleXchange may make some changes to these Terms from time to time without notice. TeleXchange will publish the changes at www.telexchange.ee. The changes will be effective when published. You understand and agree that if you continue to use the Product, the Site, and the Services after the date of amendment publication, it shall constitute that you accept the updated Terms. If you do not agree with the amended Terms, you may terminate your relationship with TeleXchange. If there are any material changes to these Terms, we will notify you by email or as otherwise required by applicable law. TeleXchange will also post any adjustments to the Policy on this web page, and the revised version will be effective immediately when it is posted (or upon notice as applicable).

License

Subject to your compliance with these Terms, you are granted a limited, non-exclusive, non-transferable, non-sublicensable free of charge license to personally use the Licensed Application on mobile devices or personal computers that you own or control through your individual TeleXchange user account.

This license does not allow you to use the Licensed Application on any device that you do not own or control and you may not distribute or make the Licensed Application available over a network where it could be used by multiple devices at the same time. You may not rent, lease, lend, sell, redistribute, sublicense the Licensed Application.

You may not remove, obscure or alter any copyright notices or other proprietary notices included in the Licensed Application, copy (except as expressly permitted by this License), decompile, reverse engineer, disassemble, attempt to derive the source code of, modify, or create derivative works of the Licensed Application, any updates, or any part thereof (unless the foregoing restriction is prohibited by applicable law, or permitted by the licensing terms governing the use of any open sourced components included with the Licensed Application, if any).

You agree not to use the License Application and any part of it within or to provide commercial products or services to third parties. At the same time, you are free to use the Product, the Site, and the Service for your own business communications.

Any copying or distribution, publication or commercial usage of the Site, or any content, software, code, data or materials on or from the Site, are strictly prohibited unless you have received express prior written permission from TeleXchange.

If you breach or attempt to breach these restrictions, you may be subject to prosecution and damages. The terms of the License will govern any upgrades provided by TeleXchange that replace and/or supplement the Product and/or Service, unless such upgrade is accompanied by a separate license in which case the terms of that license will govern.

Consent to Use of Data

By using the Licensed Application, you agree that TeleXchange may collect and use data and related information, including but not limited to technical information about your device, system and application software, and peripherals, that is gathered periodically to facilitate the provision of software updates, product support and other services to you (if any) related to the Licensed Application. We may use this information to improve our Product and Service or to provide services or technologies to you.
